Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. FCA recalls over 200k Jeep Cherokees for windshield wiper static

Fiat Chrysler Automobiles is issuing a recall for over 200,000 versions of the 2014 Jeep Cherokee due to a problem with static buildup disabling the windshield wipers. FCA has identified 158,671 units in the United States. Another 18,366 vehicles are estimated to be affected in Canada, a further 3,582 in Mexico, and 26,049 outside of North America. The problem, according to the first statement below, results from static building up if the wipers are operated in dry conditions. The static could mess with the wipers' control module, rendering them disabled. To fix the problem, dealers will be instructed to install a ground strap to the module. In parallel, FCA is also offering incentives to the owners of certain trucks that were subject to recall but for which remedies were not immediately available. To encourage those owners to bring their older vehicles in for the required service, the automaker will disperse $100 prepaid cards for use at their discretion. The program is offered to owners of certain model year Jeep Grand Cherokee, Jeep Liberty, Chrysler Aspen, and Dodge Durango sport-utility vehicles, as well as certain Dodge Dakota and Ram trucks. Owners of the affected Grand Cherokees will have the option instead to take a $1,000 consideration toward the purchase of a new vehicle or for parts and service. Significant static buildup may affect a control module that powers the wipers. The Company is unaware of any related injuries or accidents. Affected are model-year 2014 Jeep Cherokee SUVs. An estimated 18,366 vehicles will be recalled in Canada, as will an estimated 3,582 in Mexico and 26,049 outside the NAFTA region. Dealers will install a ground strap to the control module to eliminate the potential for static buildup. Customers will be advised when they may schedule service, which will be performed at no cost.

FCA recalls 1.1 million vehicles worldwide due to confusing shifter

Fiat Chrysler is recalling 1.1 million vehicles worldwide to address the problematic shifter used on cars with eight-speed automatic transmissions. The issue is that the console-mounted shifter acts like a rocker switch and always returns to the middle position after moved. This has been deemed confusing to drivers – confusing enough to cause some to exit their vehicles without first selecting Park and leading to the car rolling away. FCA says 41 injuries are related to the shifter problem, and no evidence of equipment failure has been found. The company will enhance warning chimes and alter the shift strategy, meaning alert messages will be displayed in case the driver door is opened while the engine is running. With the door open, the transmission will prevent the car from moving even if Park is not selected. The affected vehicles are certain model-year 2012–2014 Dodge Charger and Chrysler 300 sedans, as well as model-year 2014–2015 Jeep Grand Cherokee SUVs, an estimated 811,586 US vehicles in total. The recall also affects 52,144 vehicles in Canada, 16,805 in Mexico, and 248,667 vehicles elsewhere. The shifter is used with ZF-designed and ZF-built eight-speed automatic; Audi uses a similar shifter setup in some of its vehicles, including the current-generation, which predated Chrysler's use of it. Chrysler uses a different, a rotating-dial-type shifter on eight-speed-equipped Rams. The company moved away from the problem shifter design in 2015 for the Charger and 300, and the Grand Cherokee's shift lever was modified for 2016. Owners of affected vehicles will be notified of the recall when service is available. Fiat Chrysler urges customers to follow the instructions in the vehicle's owner's manual in the meantime.
