Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. Dodge recalling 2k SRT Hellcat Challengers and Chargers for fuel leak

Bad news for fans of the obscene output of the Dodge Hellcat twins, as FCA has announced a voluntary recall of both 707-horsepower variants of the 2015-model-year Charger sedan and Challenger coupe. According to FCA, a total of 2,211 cars are being recalled after a dealer discovered a "possible fuel leak" during a pre-delivery inspection. Despite getting cleared by suppliers, FCA claims its engineers found "improperly installed" hose seals. Owners of affected vehicles will receive notification and be asked to report in for repairs. Of the vehicles affected, the overwhelming majority, 2,012, were sold in the US market. The remainder were sold in Canada (148), Mexico (30) and just 21 outside of North America. Chrysler shows creative side with employee art exhibit

The United Auto Workers and Chrysler recently sponsored 92 works of art created by 50 of the automaker's unionized and salaried employees for the 2013-14 Artists at Work Exhibition, the ninth such show, which recognizes the creative process required to make art and manufacture vehicles. Chrysler says the event is "the country's only juried art show sponsored by a major corporation and a labor union." Unfortunately, the exhibit is not open to the public, but we have images to share of the winning pieces as well as other interesting exhibits in the gallery above.
"Art and manufacturing have more in common than you might think," says Keith Mickens, Chrysler-UAW National Training Center co-director from the UAW. "The creative process involved in producing a memorable image on a canvas can be used to help build quality vehicles on an assembly line."
A diverse range of art forms are showcased, from metal sculptures to ceramics to photography to paintings and more. Four Detroit-area professional artists narrowed down over 600 submissions to the 92 works of art that were shown at the exhibit, then awarded "Best of Show" prizes to three employees for their work (the first three images in our gallery) and selected 11 employees for honorable mentions. The overall winner is the sculpture above by Joseph Aiuto, titled "Childhood Anxiety."
