FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Fiat Chrysler CEO says final merger talks with Peugeot going well

BRUSSELS — Fiat Chrysler's chief executive Michael Manley said on Wednesday that merger talks with Peugeot owner PSA  to create the world's No. 4 carmaker are progressing well and he hopes to have a deal within 12-14 months. Speaking to Reuters on the sidelines of an industry meeting, he said he doesn't expect any major obstacles that could delay a final agreement. "Talks are progressing really well," Manley said about negotiations with the French carmaker ahead of a briefing by the European automotive association (ACEA), of which he is president. His comments come a month after the two carmakers agreed to a binding deal worth about $50 billion to combine forces in response to a slowdown in global demand and mounting costs of making cleaner vehicles amid tighter emissions regulations. Manley's timeline for completing the deal by early 2021 is in line with a forecast made by the companies in December. Fiat and Peugeot are now getting into the details of how the merger will work, including choosing which vehicle platforms — the technological underpinnings of a vehicle — will fit which products in a combined company. Because customers in different locations still prefer vastly different cars, there is room for multiple platforms in a combined group, Manley said. "That global platform is an elusive beast," he added. "This concept of a massive global platform in my mind is almost a myth, but that doesnÂ’t mean to say weÂ’re not going to recruit significant volume." Related Video:    

2017 Chrysler 300S Sport Appearance Package makes tweaks

Your opinion may differ, but to us, if you want the best-looking Chrysler 300, you pretty much have to go with the S model. And now, thanks to the new Sport Appearance Packages, the 300S is going to look even better. The exterior Sport Appearance Pack is going to be standard on the V8-powered 300S and optional on the V6 model. It'll bring you some good stuff, like a gloss-black grille and smoked headlamps, both of which sit in a sportier fascia with larger air intakes and LED fog lamps. There's also a new rear spoiler, and of course, 20-inch wheels (19s if you opt for all-wheel drive). Go for the interior Sport Appearance Package, and the entire inside section of the seats is finished in suede while the exterior sections are leather. The Light Gray Diesel contrast stitching adds a dash of spice to the otherwise black cabin, while the piano black trim's gloss is the closest you'll get to brightwork. Overall, the interior Sport Appearance Pack is a far less comprehensive job than the exterior pack, but it's still pretty nice. We like the overall look provided by both Sport Appearance Packages. They are clean, not overdone, and take the already serious look of the 300S a step further. But there's also little hiding the 300's age at this point. While it's a good look, it's a poor replacement for an all-new 300. We're waiting, Chrysler. Pricing isn't out yet, but we can tell you that dealers will begin taking orders for both the Interior and Exterior Sport Appearance Packages this August.
