Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. Who is John Varvatos? If you're like me, that's the question you were asking after seeing commercials that advertised a limited-edition model of the Chrysler 300 with this mystery man's name attached. If you're not like me and consider yourself a fashionista even in the slightest, then you probably already know that John Varvatos is a successful menswear designer who cut his teeth in the fashion houses of Ralph Lauren's Polo and Calvin Klein. He's also a native of Detroit, which makes the joining of his brand and that of Chrysler's more intelligible, what with the Auburn Hills-based automaker still eking efficacy from its nearly three-year-old "Imported from Detroit" tagline.
Whenever one of these co-branded vehicles crosses my path, I try to judge them according to some simple questions. The first is, does the co-branding make sense for the target audience? And the second is, do the changes improve or diminish the experience of the standard vehicle? With this partnership, both brands are clearly aiming at the same target, or perhaps Chrysler hopes its aim will improve by partnering with the JV set, bringing it closer to that bullseye of style-conscious trendsetters.
The second question, meanwhile, can be answered with your eyes alone, as no mechanical changes are included among the Varvatos upgrades. Despite that, the 300C John Varvatos Edition is priced above - well above - all other 300 sedans save the 300 SRT8, suggesting that cool is not sold by the barrel (was it ever?) and Mr. Varvatos is a dealer in the stuff. Yet while I couldn't actually tell you if John Varvatos was a designer or a ditch digger before Chrysler introduced us, I do like his style, and the man knows how to dress a car.

Mopar maneuvers into SEMA with a multitude of modified models

As the aftermarket and performance arm of Fiat Chrysler Automobiles, Mopar has a duty to extract everything from the company's models that it can, and there's no better place to show all of its work off than the annual SEMA Show.
Dodge really gets in on the act this year with several customs to show off different parts of the brand's performance heritage. Perhaps the most interesting among them is the track-prepped Viper ACR Concept (pictured above). It wears a custom body kit to produce even more downforce, thanks in no small part to a monstrous wing at the back. To shed weight, most of the interior is stripped out, as well. Next up, the Challenger T/A Concept takes inspiration from '70s Trans-Am racing in a livery of Sublime Green and matte black paint. The center scoop in the hood keeps the 6.4-liter V8 fed with cool air, and the special's 20-by-9.5-inch matte black wheels keep it planted in the corners.
Also getting the once-over from Mopar is the Charger R/T. It wears the division's body kit, and under the hood, a cold-air intake keeps the 5.7-liter V8 breathing. The suspension is retooled to hold the road better with a coil-over kit, upgraded sway bars and strut tower braces for the front and rear. The company is also showing off a snazzy blue Charger with a mean look. The final Dodge getting work from Mopar is the Dart R/T Concept with bright, O-So-Orange paint and a matte black hood with a scoop hooked directly to the air intake. The performance-oriented design is finished off with a coil-over suspension and big brake kit, as well.
