FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Labor Day: A look back at the largest UAW strikes in history

American made is almost an anachronism now, but good manufacturing jobs drove America's post-war economic golden age. Fifty years ago, if you held a job on a line, you were most likely a member of a union. And no union was more powerful than the United Auto Workers. Before the slow decline in membership started in the 1970s, the UAW had over 1.5 million members and represented workers from the insurance industry to aerospace and defense. The UAW isn't the powerhouse it once was. Today, just fewer than 400,000 workers hold membership in the UAW. Unions are sometimes blamed for the decline of American manufacturing, as companies have spent the last 30 years outsourcing their needs to countries with cheap labor and fewer requirements for the health and safety of their workers. Unions formed out of a desire to protect workers from dangerous conditions and abject poverty once their physical abilities were used up on the line; woes that manufacturers now outsource to poorer countries, along with the jobs. Striking was the workers' way of demanding humane treatment and a seat at the table with management. Most strikes are and were local affairs, affecting one or two plants and lasting a few days. But some strikes took thousands of workers off the line for months. Some were large enough to change the landscape of America. 1. 1936-1937 Flint Sit-Down Strike In 1936, just a year after the UAW formed and the same year they held their first convention, the union moved to organize workers within a major manufacturer. For extra oomph, they went after the largest in the world – General Motors. UAW Local 174 president Walter Reuther focused on two huge production facilities – one in Flint and one in Cleveland, where GM made all the parts for Buick, Pontiac, Oldsmobile and Chevrolet. Conditions in these plants were hellish. Workers weren't allowed bathroom breaks and often soiled themselves while standing at their stations. Workers were pushed to the limit on 12-14 hour shifts, six days a week. The production speed was nearly impossibly fast and debilitating injuries were common. In July 1936, temperatures inside the Flint plants reached over 100 degrees, yet managers refused to slow the line. Heat exhaustion killed hundreds of workers. Their families could expect no compensation for their deaths. When two brothers were fired in Cleveland when management discovered they were part of the union, a wildcat strike broke out.

2017 Chrysler 300S Sport Appearance Package makes tweaks

Your opinion may differ, but to us, if you want the best-looking Chrysler 300, you pretty much have to go with the S model. And now, thanks to the new Sport Appearance Packages, the 300S is going to look even better. The exterior Sport Appearance Pack is going to be standard on the V8-powered 300S and optional on the V6 model. It'll bring you some good stuff, like a gloss-black grille and smoked headlamps, both of which sit in a sportier fascia with larger air intakes and LED fog lamps. There's also a new rear spoiler, and of course, 20-inch wheels (19s if you opt for all-wheel drive). Go for the interior Sport Appearance Package, and the entire inside section of the seats is finished in suede while the exterior sections are leather. The Light Gray Diesel contrast stitching adds a dash of spice to the otherwise black cabin, while the piano black trim's gloss is the closest you'll get to brightwork. Overall, the interior Sport Appearance Pack is a far less comprehensive job than the exterior pack, but it's still pretty nice. We like the overall look provided by both Sport Appearance Packages. They are clean, not overdone, and take the already serious look of the 300S a step further. But there's also little hiding the 300's age at this point. While it's a good look, it's a poor replacement for an all-new 300. We're waiting, Chrysler. Pricing isn't out yet, but we can tell you that dealers will begin taking orders for both the Interior and Exterior Sport Appearance Packages this August.
