Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. LG Chem's batteries for the 2017 Chrysler Pacifica Hybrid minivan will be the Korean company's first time engineering and manufacturing a complete battery pack in Michigan for a volume production North American plug-in hybrid. The packs include lithium-ion cells, electronics and control units. The batteries were engineered at LG Chem's Troy, Michigan facility, and will be built at the company's Holland, Michigan plant. "Our experience with entire battery packs, including cell design and manufacturing capability, as well as our expertise in vehicle integration, makes us the ideal battery supplier for the Pacifica Hybrid," says LGCPI CEO Denise Gray. "We believe our technical strengths, engineering and manufacturing expertise, position us as a leading battery and control system provider for electric vehicles today and in the future." The van, which is suited to family, taxi or city delivery use, can run on CNG or bio-natural gas in addition to gasoline. It also features a six-speed DSG dual-clutch transmission – a first in its class. The multiple high-pressure tanks for compressed gas are located under the floor, preserving all the Caddy's precious cargo space. A TGI version of the Caddy Alltrack will also be available, initially with a six-speed manual transmission, with the DSG option arriving in the middle of 2016. Chrysler minivans under investigation for stalling after fuel refill

According to the National Highway Traffic Safety Administration, at least one man has reported that his 2007 Dodge Grand Caravan stalled unexpectedly on the highway shortly after being refueled. The unidentified man who contacted NHTSA regarding the issue cited as many as eight similar instances reported by other drivers.
NHTSA has announced that it will launch an inquiry into this issue, which could affect as many as 160,000 minivans from Dodge and Chrysler that were sold in 2007 (or more, if a problem is found that extends to additional models years, we'd assume). As of yet, there's no formal investigation, let alone a recall, on these vans, as the agency is merely determining if further action is needed.
Two months ago, Chrysler recalled nearly 700,000 vehicles, the majority of which were minivans, from the 2008-2010 model years to replace ignition switches after an investigation found that their weak springs and detent positions could fool a driver into thinking the car was in the "Run" position, when it's actually in the "Accessory" position.
