FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. FCA's Pentastar V6 gets more power, efficiency for 2016

Already a vital member of FCA's powertrain lineup, the 3.6-liter Pentastar V6 is receiving major efficiency improvements for 2016. Thanks to a massive amount of new tech attached to the mill, fuel economy is up six percent, and torque below 3,000 rpm jumps nearly 15 percent. The updates arrive first in the 2016 Jeep Grand Cherokee, but they should proliferate to other models eventually. At least in the Grand Cherokee, the tweaks push power up five horsepower to 295 ponies. FCA's engineers went through the Pentastar from top to bottom to eke out as much efficiency as possible. For example, there's now a two-speed variable-valve lift system that can run in low- or high-lift modes. This upgrade is responsible for 2.7-percent better economy, the company claims. A new intake manifold with longer runners and updated variable-valve times also helps boost the torque output. Further improvements come from pushing the compression ratio to 11.3:1, from 10.2:1 before. Perhaps most impressive is that despite all of the innovations, the latest Pentastar actually weighs four pounds less than the current version. Beyond the Pentastar improvements, all of the FCA US gasoline engines, except for the Viper's 8.4-liter V10, will be E15-compatible for 2016. The company says that it wants to be ready for the higher ethanol content fuel's greater use in the near future.

Fiat Chrysler, surprise, had to buy a lot of emissions credits

The world of carbon emissions uses some unusual units of measure. Take, for example, 8.2 million megagrams. Who needs to know how much that is? Someone at Fiat Chrysler Automobiles, that's who. FCA had to buy that many greenhouse-gas emissions credits from greener automakers, Reuters says, citing a report from the US Environmental Protection Agency (EPA). Because its vehicles' collective fuel economy continues to trail the industry average, FCA purchased the emissions credits at of the end of 2014 in order to meet US emissions regulations. About two-thirds of those credits were acquired from Toyota, while the rest were purchased from Tesla and Honda. Daimler and Ferrari, not surprisingly, were among the other automobile companies that had to acquire emissions credits in order to meet US greenhouse gas regulations. Because the price for these credits is set privately by the companies, the EPA didn't disclose how much FCA had to pay to stay on the green side. The reason for the millions FCA likely spent is because the company is making a slow progress building and selling cleaner cars. The company did increase average fuel efficiency by about one mile per gallon to almost 22 mpg for the 2015 model year, but it wasn't enough. Such a performance likely only put the automaker in a last-place tie with General Motors. The emissions credits purchased from Tesla are notable because that California-based maker of electric vehicles has long generated substantial revenue by selling various credits to its less-electrified counterparts. In 2013, Tesla sold more of California's ZEV credits than any other automaker, but Nissan took that title in 2014. While these are not the same as the EPA's GHG credits, they do offer another way to track which automakers are meeting the targets and which need help.
