GM, FCA retain financial advisors amid merger rumors

Well, here we go again. Despite allegedly shutting down the idea of a merger, General Motors has retained financial advisors to, well, advise it on Fiat Chrysler Automobiles' advances. GM brought in New York-based Goldman Sachs, while FCA is currently working with Switzerland's UBS. Another source told Reuters that GM was working with Morgan Stanley, as well. But what does all this mean? Well, as we know, FCA boss Sergio Marchionne still has his eyes set very much on merging his automaker to combat what he claims are the prohibitive costs that come from developing today's vehicles. And while GM has said "no thanks," to a merger, the FCA boss is still looking to shareholders of the world's third-largest automaker to force the issue. Rather than a sign of an impending merger, voluntary or otherwise, between the two automotive powers – analysts called a hostile move by FCA "beyond ambitious," after all – retaining financial advisors on both sides could be viewed as just good business. Fiat shareholders green-light Chrysler merger, end of an Italian era

Fiat has just taken a major step away from its Italian heritage, as shareholders officially approved the company's merger with Chrysler. That move will lead to the formation of Fiat Chrysler Automobiles NV, a Dutch company based in Great Britain and listed on the New York Stock Exchange, according to Automotive News Europe.
The company captured the two-thirds majority at a special shareholders meeting, although there are still a few situations that could defeat the movement. According to ANE, roughly eight percent of shareholders opposed the merger, which is a group large enough to defeat the plan, should they all exercise their exit rights outlined in the merger conditions.
Meanwhile, Fiat Chairman John Elkann (pictured above, right, with CEO Sergio Marchionne and Ferrari Chairman Luca Cordero di Montezemolo), the great-great-grandson of Fiat founder Giovanni Agnelli, reaffirmed his family's commitment to the company beyond the merger. Exor, the Agnelli family's holding company, still maintains a 30-percent stake in Fiat.

Bob Lutz, UAW rep commend Chrysler for not bowing to NHTSA recall pressure [w/poll]

Bob Lutz, the well-known executive with a range of automakers including both General Motors and Chrysler, says he supports Chrysler for not caving under federal pressure to issue a recall on 2.7 million Jeep vehicles. The National Highway Traffic Safety Administration is arguing that the plastic fuel tanks positioned behind the axles of certain 1993-2004 Grand Cherokee models and 2002-2007 Liberty models may become punctured in a collision and potentially catch fire, so it has called upon Chrysler to recall the vehicles. 15 deaths and 46 injuries have been attributed to the issue. For its part, Chrysler has maintained that its models "met and exceeded" all safety applicable mandates when they were manufactured, and furthermore, they argue that the government agency's own data proves that the vehicles are no more dangerous than similar SUVs produced by other automakers at the time. As a result, it is taking the unusual step of refusing to recall the vehicles.
According to The Detroit News, Lutz says Chrysler is right to push back when the government is out of line. Lutz also said that he wished he could have done the same when NHTSA urged Chrysler to issue a recall on certain minivans back when he was with the automaker 25 years ago.
Meanwhile, United Auto Workers Vice President General Holiefield also defended Chrysler by saying, "Our legendary Jeeps are crafted with pride by our dedicated UAW American workforce who work tirelessly to ensure the utmost quality of each Jeep that is produced for customers."
