Fiat pondering swallowing rest of Chrysler, US IPO

At the moment, Fiat is in court with the United Auto Workers, waiting for the justice system to provide some guidance on a fair price for 41.5-percent of Chrysler it doesn't own. Fiat owns 58.5 percent of the company and wishes to buy the remainder, which is owned by the union's VEBA retiree trust, but the Italian company and the UAW are on different sides of the galaxy when it comes to assigning a fair price to that outstanding stake.
Naturally, Fiat CEO Sergio Marchionne is considering his options. A new report in the The Wall Street Journal says one of the scenarios being considered now is - depending on the outcome of the court case - to purchase the 41.5-percent stake and then issue an IPO to recoup some of the cost. About two months ago, Marchionne put the odds of an IPO for a wholly combined Fiat/Chrysler at 50 percent. Even with the WSJ report, it's not clear if those odds have changed.
The current company structure leaves a lot of options as to how a potential IPO could be issued, but it's said that Marchionne is against it, preferring "to be one company," under Fiat, indivisible. If Fiat is finally able to purchase all of the Pentastar, it would get access to Chrysler's war chest, pegged at $11.9 billion at the end of Q3 in 2012, and that money can't come soon enough for a brand taking a beating in Europe and delaying product over cash concerns.

Undersized grille was #1 complaint of 2011-2014 Chrysler 300 owners

Not only did the 2005-2011 Chrysler 300 have a big ol' grille, it jutted ahead of the car. The grille was the metaphorical figurehead for the USS 300, and it did its job, making the sedan the Central Casting submission for "in-your-face styling" that rolled down the street winning the game of "Made You Look." The one-billion-dollar redesign for 2011 (pictured above) aimed for more upscale and less aggression - "a more grown-up look" - so the grille shrunk. And Chrysler 300 buyers hated that. So said Chrysler brand president Al Gardner to Edmunds, relating that the smaller grille was "the No. 1 issue" on the list of customer complaints about the model years from 2011 to 2014. It doesn't appear to have been much loved in-house, either, with Ralph Gilles having said of it, "Our previous generation of leaders didn't understand the car very well, and kind of forced this front end on us." That's why the grille on the 2015 model (pictured in 300S trim, inset) was aggrandized by 33 percent, although it's still not as large as on the first generation, and the more fluid design of the current car doesn't let it stand out as before. Gardner went on to say that designers "spent more time on the front end than on anything else," in search of, as Gilles put it, "the attitude it deserves." We'll soon find out if that increases the number of buyers it deserves as well. FCA workers get raises, health care co-op in new UAW deal

The pending labor agreement between FCA US and the United Auto Workers is now in the hands of union members to confirm. It's expected to be accepted, but a final decision could take weeks, The Detroit News reports. Employees didn't get everything they were hoping for, and contrary to earlier reports, the two-tier wage system remains in place. However, there are attempts to lessen the difference between the levels in this four-year deal. Assuming FCA US workers agree to this offer, the starting pay for tier-two workers would go up around a dollar to $17 an hour. The other level would now begin at $25.35, about a $6 increase, and they would receive 3 percent raises in the first and third year of the deal. Both groups also get $800 in profit sharing for each percent the automaker's profit margin rises above two percent. Extra money kicks in for the second tier above eight percent. Union members get a $3,000 bonus for accepting this contract, as well. The other major change under the pending agreement is the previously rumored switch to a healthcare co-op. The goal is to collect members from the Big Three together to create a huge member base for leverage to negotiate better rates with insurance companies. The UAW is promising no increase in cost to workers, according to The Detroit News. The idea was inspired by the similar structure for the Voluntary Employee Beneficiary Association for union retirees. UAW boss Dennis Williams expects the agreement to be approved. "Once the membership looks at it, hears the explanation for it, I think they'll ratify it," he said, according to The Detroit News. The next step is to craft similar deals with General Motors and Ford. Related Video:
