Chrysler honors Arsenal of Democracy's 75th anniversary

The Allied victory in World War II wouldn't have been possible without the Arsenal of Democracy. This phrase, originally coined by President Franklin D. Roosevelt 75 years ago today, described the war-time transformation of US manufacturing, especially the auto industry, to produce tanks and planes instead of cars and trucks. One of the earliest purpose-built facilities was the Albert Kahn-designed Detroit Arsenal, located in suburban Warren, MI, literally across the street from the future site of the General Motors Technical Center. Built by Uncle Sam, the plant churned out M3 Grant and M4 Sherman tanks with frightening speed, but it wouldn't have been possible without Chrysler. The company (which is ironically now allied to a former supplier of Nazi Germany and fascist Italy) operated the plant and applied automotive mass-production techniques to producing the government-designed tanks. The plant was so successful, according to Fiat Chrysler historian Brandt Rosenbusch, that it singlehandedly outpaced the entire Third Reich's tank production by 5,000 units over the course of the war. The Detroit Arsenal was also responsible for a quarter of all American tank production during the war. And like so many wartime factories, women formed a large percentage of the workforce, as men were drafted out of assembly work and into the armed forces. Chrysler has commemorated the 75th anniversary of the Arsenal of Democracy speech with a video on the Detroit Arsenal and its role there. And as for the site today? It built tanks up until 1997, and still serves as the home of the US Army's TACOM (Tank-automotive and Armaments Command) Life Cycle Management Command, a major site for tank research and development. Fiat board makes Chrysler merger official, approves $5.4B bond sale

Fiat's board of directors has officially approved the merger plan that will see the conglomerate's automotive operations merged with Chrysler into the new Fiat Chrysler Automobiles.
The plan essentially provides a road map for the structure of the new company. It includes provisions for Fiat shareholders - one Fiat share will translate to one share of FCA common stock. The new company will also include a loyalty voting structure, which will provide for shareholders of Fiat stock or those that have held FCA stock for at least three years. According to the plan, these shareholders would see their voting power double, with two votes for every share of FCA's common stock. The overall merger plan still needs to be approved by the company's shareholders.
In other Fiat-related news, the company's board has announced a bond issuance of four billion euro ($5.4 billion). The new bonds should provide the company with a degree of flexibility in refinancing debts associated with the merger plan.

Chrysler purchases remaining shares from VEBA Trust, announces funding plan

It's official: The Detroit Three is now The Detroit Two and The Fiat Subsidiary, Chrysler. Both the Italian carmaker and The Pentastar announced the completion of cash payments and a Memorandum of Understanding (MOU) on future payments necessary to make the Chrysler Group a wholly-owned subsidiary of Fiat. As previously detailed, Chrysler made a cash payment of $1.9 billion and Fiat North America made a cash payment of $1.75 billion to the Voluntary Employment Benefit Association (VEBA) run by the United Auto Workers union.
On top of that, Chrysler Group signed an MOU that agrees to payments of $700 million to the VEBA in four installments, the first of which was made concurrently with the other cash payments.
