Fiat/PSA's dominance in small vans hangs up EU's merger approval

BRUSSELS — EU antitrust regulators are concerned about Fiat Chrysler and Peugeot / PSA's combined high market share in small vans and may require concessions to clear their $50 billion merger, people familiar with the matter said. The companies, which are seeking to create the world's fourth biggest carmaker, were told of the European Commission's concerns last week. If Fiat and PSA fail to dispel the European Commission's doubts in the next two days and subsequently decline to offer concessions by Wednesday, the deadline for doing so, the deal would face a four-month-long investigation. The EU competition enforcer, which has set a June 17 deadline for its preliminary review, declined to comment. Fiat was not immediately available for comment while PSA had no immediate comment. Hiving off overlapping businesses, usually a regulatory demand to ensure more competition, could prove tricky for the carmakers because of the technicalities. Fiat and PSA are looking to merge to help offset slowing demand and shoulder the cost of making cleaner vehicles to meet tougher emissions regulations. The deal puts under one roof the Italian carmaker's brands such as Fiat, Jeep, Dodge, Ram, Maserati and the French company's Peugeot, Opel and DS. Fiat seeking $10B in financing to buy Chrysler

As Fiat looks to become the full owner of Chrysler, all it has standing in its way is the retiree trust of the United Auto Workers, which currently holds the remaining 41.5 percent of the company as the result of the Pentastar's bankruptcy deal. The Detroit News is reporting that that Fiat is currently talking to numerous banks in an attempt to raise around $10 billion to fund the purchase of Chrysler's remaining stake with enough left over to refinance the debt of both companies. We've known that Fiat has been working to obtain the capital to buy out Chrysler for some time now, but this is the first time we've seen Fiat tip its hand about how much cash it thinks it will need to close the deal.
The first order of business is a legal dispute over the value of the UAW's stake in Chrysler, which the report indicates could cost Fiat around $3.5 billion. The acquisition of remaining shares could happen by this summer, but it sounds like CEO Sergio Marchionne (above) might not be ready for a full merger until next year.

Chrysler recalling hundreds of thousands of Jeep Grand Cherokee and Commander SUVs

The public might associated ignition switch recalls with General Motors - and with good cause - but that's not the only automaker calling its vehicles back in to fix that sort of issue.
Last month we reported that the National Highway Traffic Safety Administration was investigating an array of Chrysler Group vehicles for electrical-related safety issues. The administration and Chrysler subsequently issued a recall for 700,000 Dodge Journey crossovers, Dodge Grand Caravan minivans and Chrysler Town & Country minivans. But while the Jeeps that were also under investigation were not covered in that recall, they are being addressed in a separate one now.
Although Chrysler reports that it is only aware of a single accident stemming from this issue, it is "committing now to conduct a recall out of an abundance of caution." The recall affects the 2006-2007 Jeep Commander and 2005-2007 Jeep Grand Cherokee, of which it reports there are 792,300 on the road: 649,900 in the United States, 28,800 in Canada, 12,800 in Mexico and a further 100,800 outside of North America.
